1. Acknowledgment, Acceptance, and Binding Effect
These Terms of Use (these "Terms") constitute a legally binding agreement governing the relationship between Reclaim.org ("Reclaim.org," "we," "us," or "our") and any individual or entity (each, a "User," "you," or "your") who accesses, browses, registers for, or otherwise utilizes, in any manner whatsoever, the website located at www.reclaim.org, together with any related subdomains, mobile-optimized interfaces, application programming interfaces, communications channels, and associated online or offline services made available by Reclaim.org from time to time (collectively, the "Services"). By accessing or using the Services in any manner, you represent, warrant, acknowledge, and agree that you have read, fully understood, and unconditionally agree to be bound by these Terms in their entirety, as the same may be amended, supplemented, or otherwise modified by Reclaim.org from time to time in accordance with the provisions hereof. If you do not so agree, you must promptly cease and desist from any and all access to or use of the Services.
These Terms incorporate by reference our Privacy Policy, which is available at the Services and forms an integral part of the agreement between you and Reclaim.org.
2. Description of the Services
Reclaim.org provides an online self-service platform through which Users may, subject to these Terms and applicable law, identify, document, substantiate, and submit claims for assets that have been reported as unclaimed and that may be subject to recovery on behalf of their rightful owners or beneficiaries (such assets, "Unclaimed Assets"). For the avoidance of any doubt, Reclaim.org is not a governmental agency, regulatory authority, law firm, financial institution, fiduciary, or registered investment adviser, and Reclaim.org does not, through the Services or otherwise, provide legal advice, tax advice, investment advice, financial planning advice, or any other form of professional advice. Use of the Services is entirely voluntary, and Users may at any time elect to pursue claims through alternative means or representatives.
3. Eligibility and Capacity
In order to access or use the Services, you must, at all times during such access or use: (a) be at least eighteen (18) years of age, or such greater age as may constitute the age of legal majority in your jurisdiction of residence; (b) possess full legal capacity to enter into and be bound by these Terms; (c) not be prohibited or restricted from using the Services or any portion thereof under any applicable law, regulation, treaty, court order, or other legally binding instrument; and (d) provide and maintain accurate, current, and complete information regarding yourself and any claim or matter you submit through the Services. To the extent you access or use the Services on behalf of any other individual, entity, estate, trust, beneficiary, or principal, you further represent and warrant that you possess all requisite authority to bind such individual, entity, estate, trust, beneficiary, or principal to these Terms.
4. User Representations, Warranties, and Covenants
You represent, warrant, and covenant to Reclaim.org, on a continuing basis throughout your use of the Services, that:
(a) all information, documentation, statements, and representations submitted by or on behalf of you to or through the Services are, and shall continue to be, true, accurate, current, and complete in all material respects, and not misleading in any respect;
(b) you are the rightful owner of, or are otherwise duly authorized to act with respect to, each Unclaimed Asset for which you submit or cause to be submitted any claim through the Services;
(c) you have not authorized, retained, or engaged any other party to pursue, on a current and active basis, the same Unclaimed Asset for which you submit any claim through the Services;
(d) you possess all requisite legal right, power, and authority to grant the authorizations contemplated by these Terms; and
(e) your access to and use of the Services shall at all times comply with all applicable laws, statutes, regulations, ordinances, court orders, and rules.
You acknowledge and agree that the submission of any false, misleading, fraudulent, or otherwise inaccurate information or claim may constitute a violation of applicable federal, state, or local law and may subject you to civil and/or criminal liability and penalties.
5. Acceptable Use and Restrictions
You shall not, and shall not permit or facilitate any other person to, directly or indirectly: (a) use the Services for any unlawful, fraudulent, deceptive, or otherwise improper purpose; (b) submit, post, transmit, or otherwise make available through the Services any false, inaccurate, misleading, or fraudulent information, claim, or documentation; (c) impersonate any other person, misrepresent your identity, affiliation, or authority, or falsely state or imply any sponsorship, endorsement, or affiliation; (d) access, attempt to access, or interfere with any non-public area of the Services or any computer or network systems associated with the Services; (e) introduce or transmit any virus, worm, malware, spyware, ransomware, or other malicious code or harmful component to or through the Services; (f) use any robot, spider, scraper, crawler, automated tool, or other means to access, collect, harvest, or compile any data or information from the Services without the prior written consent of Reclaim.org; (g) reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, underlying ideas, algorithms, or architecture of the Services; (h) modify, adapt, translate, or create derivative works based upon the Services or any portion thereof; (i) resell, sublicense, lease, rent, distribute, or otherwise commercially exploit the Services without the prior written consent of Reclaim.org; or (j) engage in any conduct that could reasonably be expected to damage, disable, overburden, or impair the Services or any computer or network systems associated therewith.
6. Intellectual Property Rights
6.1 Reclaim.org Intellectual Property. The Services, together with all software, source code, object code, designs, layouts, user interfaces, text, graphics, illustrations, photographs, images, video, audio, data, databases, compilations, trademarks, service marks, trade names, trade dress, logos, and other content and materials made available through the Services (other than User Content, as defined below), and all intellectual property rights therein and thereto, are and shall remain the exclusive property of Reclaim.org and our licensors. Subject to your continuing compliance with these Terms, Reclaim.org grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for their intended purposes. All rights not expressly granted herein are hereby reserved.
6.2 User Content. As between you and Reclaim.org, you retain all right, title, and interest in and to any documents, information, data, materials, and other content submitted by you to or through the Services ("User Content"). You hereby grant to Reclaim.org a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, and transferable license to access, use, host, store, copy, reproduce, transmit, display, modify, adapt, and process User Content for purposes of providing, maintaining, securing, and improving the Services and complying with applicable legal and regulatory obligations. You represent and warrant that you possess all requisite rights, licenses, and authorizations to grant the foregoing license and that no User Content infringes or violates any rights of any third party.
6.3 Feedback. Any suggestions, comments, ideas, recommendations, or other feedback you provide regarding the Services may be used by Reclaim.org without restriction, attribution, or compensation, and you hereby irrevocably assign to Reclaim.org all right, title, and interest in and to any such feedback.
7. Third-Party Content and Services
The Services may contain links to, or integrate with, websites, applications, content, products, or services operated, owned, or controlled by third parties (collectively, "Third-Party Services"). Reclaim.org has no control over, makes no representations or warranties regarding, and assumes no responsibility or liability for any Third-Party Services. Your access to and use of any Third-Party Services is at your sole risk and is governed by the terms, conditions, and policies applicable to such Third-Party Services.
8. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, INCLUDING ALL CONTENT, INFORMATION, MATERIALS, FUNCTIONALITY, AND FEATURES MADE AVAILABLE THROUGH OR IN CONNECTION WITH THE SERVICES, ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, WITHOUT WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. RECLAIM.ORG HEREBY EXPRESSLY DISCLAIMS ANY AND ALL SUCH WARRANTIES, REPRESENTATIONS, AND CONDITIONS, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, RECLAIM.ORG MAKES NO REPRESENTATION OR WARRANTY THAT (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY ASSETS OR INFORMATION IDENTIFIED THROUGH THE SERVICES IN FACT BELONG OR ARE AVAILABLE TO YOU; (C) ANY CLAIM SUBMITTED THROUGH THE SERVICES WILL BE ACCEPTED, APPROVED, OR PAID; (D) ANY RECOVERY WILL OCCUR WITHIN ANY PARTICULAR TIMEFRAME OR AT ALL; OR (E) THE INFORMATION OR CONTENT MADE AVAILABLE THROUGH THE SERVICES IS COMPLETE, CURRENT, OR ACCURATE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RECLAIM.ORG, OR ANY OF OUR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, AGENTS, REPRESENTATIVES, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OR OPPORTUNITY, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT RECLAIM.ORG HAS BEEN ADVISED OF, KNEW OF, OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF RECLAIM.ORG ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO RECLAIM.ORG DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100). THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF ANY ESSENTIAL PURPOSE OF ANY LIMITED REMEDY SET FORTH HEREIN.
10. Indemnification
You shall indemnify, defend, and hold harmless Reclaim.org and our respective officers, directors, managers, employees, agents, representatives, affiliates, licensors, and service providers (collectively, the "Indemnitees") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including without limitation reasonable attorneys' fees and costs of investigation) arising out of, relating to, or in connection with: (a) your access to or use of the Services; (b) any User Content submitted by or on behalf of you; (c) your breach or alleged breach of these Terms or any representation, warranty, or covenant contained herein; (d) your violation or alleged violation of any applicable law, regulation, or right of any third party; or (e) any false, misleading, fraudulent, or otherwise inaccurate information or claim submitted by or on behalf of you through the Services.
11. Term, Suspension, and Termination
These Terms shall remain in full force and effect during your access to and use of the Services. Reclaim.org reserves the right, in our sole discretion and without any liability to you, to suspend, restrict, or terminate your access to the Services, in whole or in part, at any time and for any reason or no reason, with or without prior notice. The provisions of these Terms that, by their nature, are intended to survive termination shall so survive.
12. Governing Law; Dispute Resolution
12.1 Governing Law. These Terms, and any disputes, claims, or controversies arising out of or relating to these Terms or the Services, shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of laws principles.
12.2 Forum. Subject to any binding arbitration provisions that may be agreed to between you and Reclaim.org, you and Reclaim.org agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware for the resolution of any dispute, claim, or controversy arising out of or relating to these Terms or the Services.
13. General Provisions
13.1 Modifications. Reclaim.org reserves the right, in our sole discretion, to modify, supplement, or otherwise amend these Terms at any time and from time to time. Any such modifications shall be effective upon posting of the revised Terms on the Services, together with an updated "Last Updated" date. Your continued access to or use of the Services following the effectiveness of any such modification constitutes your acceptance of the modified Terms.
13.2 Entire Agreement. These Terms, together with the Privacy Policy and any other agreements or policies expressly incorporated herein by reference, constitute the entire agreement between you and Reclaim.org with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
13.3 Severability. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it valid, legal, and enforceable, or, if such modification is not possible, shall be severed from these Terms, and the remaining provisions of these Terms shall continue in full force and effect.
13.4 No Waiver. No failure or delay by Reclaim.org in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
13.5 Assignment. You may not assign or transfer these Terms or any of your rights or obligations hereunder, in whole or in part, without the prior written consent of Reclaim.org, and any purported assignment or transfer in violation of the foregoing shall be null and void. Reclaim.org may freely assign or transfer these Terms or any of our rights or obligations hereunder without your consent.
13.6 Force Majeure. Reclaim.org shall not be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond our reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labor disputes, epidemics, pandemics, or failures of telecommunications, internet, or utility services.
13.7 Notices. Reclaim.org may provide notices to you by posting on the Services, by electronic mail to any address you have provided to us, or by such other reasonable means as we may elect. You may provide notices to Reclaim.org by electronic mail at support@reclaim.org.
13.8 No Agency. Except as expressly set forth herein, nothing in these Terms shall be construed to create any agency, partnership, joint venture, employment, or fiduciary relationship between you and Reclaim.org.
